Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Beamreach Compass application, related websites, and associated services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and Authority

You represent and warrant that you have the legal capacity and authority to enter into these Terms, and that you are authorized to provide any data, credentials, systems access, or instructions you submit through the Services on behalf of yourself or the applicable organization.

2. Description of Services

Compass may provide identity-based login, cloud posture analysis, FinOps findings, ownership mapping, policy-aware automations, workflow assistance, and related software features. The Services may evolve over time, and some features may be offered on a beta, preview, or limited-availability basis.

3. Accounts, Credentials, and Customer Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account or using credentials, integrations, or permissions you make available to the Services.

If you provide or authorize access to AWS credentials, tokens, keys, secrets, role assumptions, or other access mechanisms, you represent and warrant that:

• You have the right to provide that access.
• The permissions granted are appropriate for the workflow you intend to run.
• You understand that the Services may use those credentials to authenticate, retrieve metadata, analyze environments, maintain integrations, or execute actions you authorize.
• You are responsible for selecting least-privilege scopes, monitoring access, and rotating or revoking credentials when appropriate.

4. Acceptable Use

You may not use the Services to:

• Violate applicable law, regulation, contract, or third-party rights.
• Access or attempt to access systems, data, or accounts without authorization.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Use the Services for benchmarking, competitive analysis, or development of competing products in a manner not permitted by law.
• Upload or transmit malicious code, destructive content, or data you are not authorized to process.

5. Customer Data

As between the parties, you retain your rights in the data, content, credentials, configurations, findings inputs, and other materials you submit to the Services ("Customer Data"). You grant Beamreach a non-exclusive, limited right to host, store, reproduce, process, transmit, and use Customer Data as reasonably necessary to provide, secure, support, and improve the Services, enforce these Terms, and comply with applicable law.

6. Third-Party Services

The Services may interoperate with third-party platforms, including identity providers, cloud providers, code hosts, and messaging systems. Your use of those third-party services is governed by the applicable third-party terms and privacy policies, and Beamreach is not responsible for third-party services or their availability, security, or practices.

7. No Security or Compliance Guarantee

The Services may help identify risks, configuration issues, operational concerns, or cost optimization opportunities, but they are not a guarantee that your systems are secure, compliant, error-free, or free from interruption or compromise, nor a guarantee of specific savings outcomes. You remain responsible for evaluating findings, reviewing changes, validating automations, and making your own security, legal, operational, compliance, and financial decisions.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the maximum extent permitted by applicable law, Beamreach disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Beamreach and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or use, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of Beamreach for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts paid by you to Beamreach for the Services in the twelve months preceding the event giving rise to the claim or (b) USD $100.

10. Indemnity

You will defend, indemnify, and hold harmless Beamreach and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses arising out of or relating to your Customer Data, your use of the Services, your breach of these Terms, or your violation of applicable law or third-party rights.

11. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe your use poses a security risk, violates these Terms, infringes third-party rights, or could create liability or harm for Beamreach, other users, or third parties.

12. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. Updated Terms become effective when posted. Your continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
